Role Overview
We are seeking a seasoned and strategic Legal Head – Real Estate to lead and oversee all legal functions across multiple real estate projects on a Pan India basis. The role will be responsible for end-to-end legal strategy, land acquisition due diligence, transaction structuring, regulatory compliance, litigation oversight, and risk management across residential, commercial, mixed-use, and township developments.
The incumbent will work closely with the CMD, Business Development, Finance, Projects, and external counsel to ensure all transactions, approvals, and contractual frameworks are legally robust, commercially aligned, and compliant with state-specific regulations.
Key Responsibilities
1. Legal Strategy & Leadership
• Lead and manage the entire legal function for multiple real estate projects across India
• Develop and implement legal frameworks, risk mitigation strategies, and compliance structures
• Advise the CMD and senior leadership on legal risks, transaction structuring, and strategic matters
• Oversee and mentor internal legal teams and external counsel
2. Land Acquisition & Transaction Management
• Lead title due diligence and legal vetting for land acquisition and asset purchase transactions
• Structure and negotiate complex real estate transactions including:
o Joint Development Agreements (JDA)
o Joint Venture (JV) Agreements
o Development Management Agreements
o Sale Deeds, Conveyance Deeds, Lease Deeds
o MOUs, LOIs, Term Sheets, Power of Attorney
• Provide legal opinions on title verification, zoning, land use, conversion, and encumbrances
• Ensure seamless closure of land and development transactions
3. Regulatory & Compliance (Pan India)
• Ensure compliance with RERA regulations across different states
• Manage statutory approvals and coordinate with local authorities and government bodies
• Oversee compliance with state-specific land laws, municipal regulations, environmental laws, and taxation frameworks
• Monitor regulatory changes and advise leadership on legal and commercial implications
4. Litigation & Dispute Resolution
• Oversee litigation strategy related to land disputes, contractual matters, regulatory issues, and recovery cases
• Coordinate with litigation counsel for representation before courts, RERA authorities, and tribunals
• Draft and review legal notices, replies, settlement agreements, and arbitration documentation
• Drive dispute resolution through negotiation, mediation, or arbitration where appropriate
5. Contract Management & Risk Control
• Standardize and streamline contract templates across projects
• Review and approve all high-value contracts with contractors, consultants, vendors, and partners
• Identify legal and commercial risks in business proposals and development agreements
• Implement internal compliance and documentation control mechanisms
6. Stakeholder & Cross-Functional Collaboration
• Work closely with Business Development on new acquisitions and partnerships
• Support Finance in structuring funding, investor documentation, and lender agreements
• Coordinate with Projects and Sales teams to ensure legally compliant documentation and customer agreements
• Support investor and board-level reporting on legal matters
Required Qualifications
• LL.B. / LL.M. from a recognized university
• Enrolled with the Bar Council of India
• Proven experience handling large-scale, multi-state real estate projects
• Prior experience with a reputed law firm, large real estate developer, or infrastructure company
